Terms of Service.

Short version: pay your subscription, don't use Argus to do anything illegal, don't try to break it, and we'll keep the lights on. We're allowed to refund you, terminate accounts that abuse the service, and update these terms with reasonable notice.

1. Your account.

To use Argus you must create an account. You're responsible for keeping your credentials safe, for actions taken under your account, and for keeping your contact information current. If you give other people access to your organization's Argus instance (teammates, bookkeepers, accountants), you're responsible for their use of the Service too.

You must be at least 18 to use Argus.

2. Acceptable use.

You agree to use Argus only for lawful purposes. Specifically, you won't:

  • Use Argus to violate any applicable law, regulation, or third-party right
  • Reverse-engineer, decompile, or attempt to extract source code from the Service
  • Interfere with the Service's operation, security, or other users
  • Upload viruses, malicious code, or content that infringes others' rights
  • Resell or sublicense the Service without our written permission
  • Use Argus to monitor a QuickBooks account you don't have legitimate authorization to monitor

3. Your data.

Your data is yours. We store it, process it, and display it back to you, but we don't claim ownership of it. We use it only to deliver the Service, as described in our Privacy Policy.

You grant us a limited, non-exclusive license to use your data solely to operate, maintain, and improve the Service. This license terminates when your account does.

4. Payment.

Paid plans are billed in advance, monthly or annually, in CAD or USD. We'll charge the payment method on file at the start of each billing period. If a payment fails, we'll retry and email you; if it doesn't go through within 14 days, we may suspend access until it's resolved.

Pricing changes will be announced at least 30 days before they take effect, and only apply to your account from the next billing cycle. Annual plans renew at the price quoted at signup.

Refunds are at our discretion: monthly plans aren't pro-rated; annual plans are pro-rated to the day.

5. Free trial.

New accounts get 14 days free with no credit card required. At the end of the trial, your account becomes inactive unless you provide a payment method. We will never auto-charge a credit card from a trial without explicit consent. Your data is preserved for 30 days post-trial in case you decide to continue.

6. Intellectual property.

Argus (the software, the brand, the documentation, the source code) is ours. The data you put into Argus, and the reports it generates from your data, are yours. We don't claim either implicitly or explicitly.

If you give us feedback or suggestions, we may use that feedback to improve the Service without obligation to you. We do not consider that feedback confidential.

7. Warranties & disclaimers.

We work hard to make Argus accurate, reliable, and useful — but we provide it "as is." We don't warrant uninterrupted operation, error-free results, or that every health check will catch every issue in your books. Argus is a tool that helps you find problems faster; it's not a replacement for a CPA's judgment, and it shouldn't be treated as a tax filing, legal opinion, or financial certification.

Specifically: Argus's flags are not professional tax, legal, or accounting advice. They're a software-generated signal that something looks unusual. Use them as a starting point, not a final answer.

8. Liability.

To the maximum extent permitted by law, our total liability for any claim arising out of or related to the Service is limited to the amount you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — even if we've been told they're possible.

9. Termination.

You can cancel at any time from your account settings — one click. Your account remains active through the end of the current billing period, then deactivates. Your data is retained for 30 days in case you change your mind, then deleted.

We may suspend or terminate your account if you violate these terms, abuse the Service, or fail to pay. We'll notify you with a reasonable cure period whenever feasible.

10. Disputes.

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute will be resolved in the courts of Toronto, Ontario.

Before filing anything formal, please email us. We will genuinely try to work it out.

11. Changes.

We may update these terms occasionally. Material changes will be announced at least 30 days in advance via email and on the website. Your continued use after the effective date constitutes acceptance. Old versions will remain archived for reference.
